Last Revised: October 2026 • Applicable to all clients, website visitors, and service users.
Welcome to Artcode Infotech (“Company”, “we”, “our”, or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our website (artcodeinfotech.com), as well as any software applications, products, ERP platforms, APIs, consulting, or digital services provided by Artcode Private Limited.
By accessing our website, engaging our technology services, or subscribing to any of our software platforms, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, please refrain from using our services.
1. Services & Engagement Scope
Artcode Infotech provides end-to-end technology solutions, including but not limited to:
- Custom Software & Web Development: Scalable web applications, responsive websites, APIs, and backend architectures.
- Mobile Application Development: Native Android, native iOS, and cross-platform applications.
- Enterprise ERP & Business Solutions: ERP for Hospitals, Industrial ERP, Gold Loan Management, and ODOO implementation and customization.
- SaaS Platforms & Cloud Integrations: WhatsApp Cloud API marketing platforms (Sandesa), Trackfence, WashlyIndia, and related digital toolkits.
- Digital Transformation & IT Consulting: Architecture audits, AI integrations, data workflows, and technology modernization.
Specific project timelines, deliverables, technical specifications, and costs will be agreed upon separately in individual Statements of Work (SOW), Service Agreements, or Quotations signed between Artcode Infotech and the Client.
2. Intellectual Property & Source Code Ownership
Our Philosophy: We build it, you own it. Upon full and final settlement of all agreed project dues, clients receive full ownership rights to custom-developed source code, applications, and deliverable assets created specifically for their project.
- Custom Deliverables: Once invoices for custom software development projects are fully settled, the client holds full ownership and commercial rights to the bespoke code and visual assets.
- Pre-existing & Proprietary IP: Artcode Infotech retains ownership of our proprietary tools, core libraries, boilerplate components, internal development modules, and standard frameworks used to facilitate development. Clients receive a perpetual, non-exclusive, royalty-free license to use these integrated libraries solely as incorporated into their deliverable.
- Proprietary SaaS Products: For off-the-shelf and subscription products (including Hospital ERP, Industrial ERP, Trackfence, WashlyIndia, and Sandesa), Artcode retains complete ownership and copyright. Customers are granted a non-transferable, revocable subscription license to use the service in accordance with their subscription tier.
3. Client Responsibilities & Cooperation
To ensure timely and high-quality project delivery, the client agrees to:
- Provide clear, detailed requirements, timely inputs, branding guidelines, content, and test data as requested.
- Appoint a single point of contact (SPOC) authorized to make technical and business decisions, provide project sign-offs, and approve milestone deliveries.
- Review deliverables and provide constructive feedback or approval within the timelines specified in the project schedule (typically 5–7 business days).
- Ensure all materials, credentials, and data provided to Artcode do not violate third-party copyrights, trademarks, or privacy laws.
4. Quotations, Invoicing & Payments
- Estimates & Milestones: All custom development projects are invoiced according to the milestone schedule detailed in the relevant SOW or Proposal (e.g., Advance Deposit, UI/UX Signoff, Beta Release, Final Handover).
- Taxes: All fees are subject to applicable taxes, including Indian Goods and Services Tax (GST), unless explicitly stated otherwise.
- Payment Terms: Invoices are payable within the timeframe stipulated on the invoice (typically 7 to 15 days from issuance).
- Late Payments: In the event of unpaid invoices beyond the due date, Artcode reserves the right to pause active development, defer deployment, or suspend cloud services until all outstanding balances are settled.
5. Project Revisions, Scope Creep & Change Requests
Each project includes a defined scope of features and a reasonable number of revision cycles outlined in the initial proposal. Any requests for additional functionality, architecture modifications, or feature enhancements outside the agreed SOW will be evaluated as a Change Request (CR) with a separate timeline and cost estimate.
6. Third-Party Services & Cloud APIs
Our solutions may integrate with third-party software, cloud servers, payment gateways, or APIs (such as Meta WhatsApp Cloud API, AWS, Google Cloud, Razorpay, SMS gateways, etc.).
- Artcode Infotech is not responsible for any changes in pricing, service outages, API deprecations, or policy changes made by third-party providers.
- Clients are responsible for complying with the terms and maintaining valid billing accounts with third-party vendors directly unless managed services are agreed in writing.
7. Confidentiality & Non-Disclosure
Both parties agree to treat all business, financial, technical, customer, and proprietary information disclosed during the engagement as strictly confidential. Neither party shall disclose Confidential Information to any third party without prior written consent, except to employees, contractors, or legal advisors who need to know such information under equivalent confidentiality obligations.
8. Warranties & Post-Launch Support
- Bug-Fix Warranty: Artcode provides a complimentary bug-fixing and stabilization warranty period (typically 30 to 90 days as defined in your contract) following production launch to resolve defects directly related to the contracted scope.
- Maintenance & Support: Following the warranty period, ongoing feature updates, security patches, system scaling, and SLA-backed support are available under dedicated Annual Maintenance Contracts (AMC) or Retainer plans.
- Disclaimer: Except as expressly stated, our website and software are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Artcode Infotech and Artcode Private Limited shall not be liable for any indirect, incidental, punitive, special, or consequential damages, including loss of profits, revenue, data, or business opportunities, arising out of or in connection with the use or inability to use our services or deliverables. In any case, our total aggregate liability shall not exceed the total fees actually paid by the client for the specific service giving rise to the claim in the three (3) months preceding the event.
10. Termination
Either party may terminate an engagement for convenience by providing written notice as stipulated in the contract (typically 30 days), or immediately if the other party commits a material breach that remains uncured for 14 days after written notification. Upon termination, the client shall compensate Artcode for all work completed up to the termination date.
11. Governing Law & Jurisdiction
These Terms and any dispute or claim arising out of them shall be governed by and construed in accordance with the laws of the Republic of India. Both parties submit to the exclusive jurisdiction of the competent courts situated in Pune, Maharashtra, India.
12. Updates to These Terms
We reserve the right to amend these Terms and Conditions periodically to reflect changes in our services, technology practices, or applicable laws.
